Deskpad Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Deskpad AI LLC ("Deskpad," "we," "us," or "our") governing your access to and use of our websites at deskpad.ai and app.deskpad.ai, our Google Docs add-on, and related services (together, the "Services").
Please read these Terms carefully. By accessing or using the Services, you agree to them. If you do not agree, do not use the Services.
If you are agreeing on behalf of a school or district, you also agree to Section 3, and you represent that you are authorized to bind that organization.
1. Who we are and what the Services are
Deskpad provides an educational platform that helps schools and teachers bring AI into the classroom in a safe and constructive way. Students do their work inside Deskpad, teachers can make AI use transparent by building it into the assignment, and Sage, our built-in AI tutor, guides student thinking. Teachers assign, review, and grade work within the Services.
2. Agreement to these Terms
By creating an account or using the Services, you confirm that you can form a binding agreement with us, or that you are using the Services under the authority of a school or district that has done so. These Terms apply to everyone who uses the Services: schools and their staff, students, parents, and visitors to our public website.
3. School accounts and authority
The Services are designed to be adopted by a school or district (a "School") that invites its teachers, administrators, and students to use them.
- If you accept these Terms on behalf of a School, you represent that you have authority to bind that School, and "you" includes that School.
- A School may enter into a separate written agreement with us, such as an order form and a Data Processing Agreement (DPA), governing its use of the Services and our handling of student data. Where that agreement differs from these Terms for a given School, that agreement controls for that School.
- The School is responsible for managing its users, for the accounts it creates or authorizes, and for providing any notices or consents required for its students to use the Services. Our handling of student data is described in our Privacy Policy and in the School's DPA.
4. Eligibility and student accounts
The Services are intended for use within a School context.
- Students, including students under the age of 13, may use the Services only as authorized and directed by their School. The School provides any consents required for its students to use the Services, as described in our Privacy Policy.
- Students should use the Services only for the educational purposes their School and teachers direct.
- We do not intend for individuals to create their own independent accounts, or to form their own agreement with us, outside of a School relationship or another offering we expressly make available to them. If we offer accounts to parents or other individuals, additional terms may apply at sign-up.
If you believe a student is using the Services without proper authorization, contact us at support@deskpad.ai.
5. Your account and responsibilities
When you create or use an account, you agree to:
- Provide accurate information and keep it up to date.
- Keep your login credentials confidential and not share your account.
- Be responsible for activity that occurs under your account.
- Notify us promptly at support@deskpad.ai if you suspect unauthorized use of your account.
You are responsible for the devices and connections you use to access the Services.
6. Acceptable use
You agree not to:
- Use the Services for any unlawful purpose or in violation of your School's policies.
- Upload or share content that is unlawful, harmful, harassing, hateful, or that infringes someone else's rights.
- Attempt to access accounts, data, or parts of the Services you are not authorized to access.
- Interfere with, disrupt, probe, or attempt to bypass the security or integrity of the Services.
- Reverse engineer, copy, resell, or create derivative works from the Services, except as the law allows.
- Use the Services to build a competing product, or scrape or extract data from them, without our permission.
- Use automated means to access the Services in a way that burdens or harms them.
We may investigate and take appropriate action, including suspending or terminating access, for conduct that violates these Terms or that we reasonably believe is harmful.
7. Sage and AI features
Sage is an AI tutor designed to guide student thinking rather than to do the work for the student. You understand and agree that:
- Sage produces AI-generated responses that can be inaccurate, incomplete, or out of date. Responses should be reviewed and verified, and they are not professional advice.
- Sage is a learning aid, not a substitute for a teacher's judgment. Grading and academic decisions are made by educators, not by Sage.
- You are responsible for using Sage in a way that complies with your School's academic integrity and acceptable use policies.
- We do not use student work or student-Sage conversations to train AI models, as described in our Privacy Policy.
8. Your content: ownership and license
"Your Content" means the content submitted through the Services, including student writing and drafts, assignments, submissions, feedback, and conversations with Sage.
- As between you and Deskpad, you (and, for student data, the School and its students) own Your Content. We do not claim ownership of student work.
- You grant Deskpad a limited, non-exclusive, worldwide license to host, store, process, display, and transmit Your Content solely to provide, maintain, secure, and improve the Services for you, and as otherwise permitted by the School's DPA for student data.
- You are responsible for Your Content and for having the rights necessary to submit it.
- Our handling of personal information in Your Content is governed by our Privacy Policy and applicable DPAs.
9. Our intellectual property
The Services, including their software, design, text, graphics, the Sage name and Deskpad name and logos, and all related intellectual property, are owned by Deskpad or our licensors and are protected by law. Except for the rights expressly granted to you in these Terms, we reserve all rights in the Services. You may not use our names, logos, or branding without our prior written permission.
We welcome feedback. If you send us suggestions, you agree we may use them without restriction or obligation to you.
10. Fees and paid plans
- Some features of the Services may be offered to Schools under paid licenses, set out in a separate order form or agreement. Pricing, scope, and payment terms for a School are governed by that agreement.
- Students are not charged to use the Services.
- Some features may be offered at no cost or as part of a trial, and we may change what is included in free and paid offerings over time.
- If we make paid plans available directly to parents or other individuals, the applicable pricing, billing, renewal, and cancellation terms will be presented at the time of purchase and will form part of these Terms for those purchases.
11. Third-party services
The Services rely on certain third-party providers and may link to or integrate with third-party products, such as Google Workspace and the Google Docs add-on. Your use of those third-party products is governed by their own terms and privacy policies, and we are not responsible for them. The third parties that process information on our behalf are described in our Privacy Policy and, for Schools, in the DPA.
12. Privacy
Our collection and use of personal information in connection with the Services is described in our Privacy Policy, which is incorporated into these Terms by reference. For Schools, our handling of student data is also governed by the applicable DPA.
13. Termination and suspension
- You, or your School, may stop using the Services at any time. A School's rights to terminate, and our obligations to return or delete data on termination, are governed by the School's agreement and DPA.
- We may suspend or terminate access to the Services, in whole or in part, if you violate these Terms, if we reasonably believe it is necessary to protect the Services or other users, or if required by law. Where reasonable, we will try to give notice.
- Sections that by their nature should survive termination (for example, content ownership, intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.
14. Disclaimers
The Services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that AI outputs will be accurate or reliable.
Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.
15. Limitation of liability
To the fullest extent permitted by law:
- Deskpad will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising out of or relating to the Services or these Terms.
- Deskpad's total liability arising out of or relating to the Services or these Terms will not exceed the greater of the amount paid to us for the Services in the twelve months before the event giving rise to the claim, or one hundred US dollars.
A School's agreement or DPA may set different liability terms for that School, in which case those terms control for that School. Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.
16. Indemnification
To the extent permitted by law, and except as otherwise agreed in a School's agreement or DPA, you agree to defend, indemnify, and hold harmless Deskpad from claims, damages, and costs (including reasonable legal fees) arising out of your misuse of the Services, your violation of these Terms, or your violation of the rights of a third party. We recognize that public schools and districts may be limited in their ability to agree to indemnification, and such terms are addressed in the applicable School agreement.
17. Changes to the Services and these Terms
We may change the Services over time, including adding, modifying, or removing features. We may also update these Terms. If we make material changes, we will update the "Last updated" date above and, where appropriate, provide notice. Changes that affect a School's use or our handling of student data will be made consistent with the School's agreement and applicable law. Your continued use of the Services after changes take effect means you accept the updated Terms.
18. Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Subject to any different terms in a School's agreement, you agree that disputes arising out of or relating to these Terms or the Services will be resolved in the state or federal courts located in San Francisco, California, and you consent to their jurisdiction. Nothing in these Terms limits any right a School or public entity has under applicable law.
19. General
- Entire agreement. These Terms, together with our Privacy Policy and any applicable School agreement or DPA, are the entire agreement between you and Deskpad regarding the Services.
- Order of precedence. For a School, a signed agreement or DPA controls over these Terms where they conflict.
- Severability. If any provision is found unenforceable, the rest remains in effect.
- No waiver. Our failure to enforce a provision is not a waiver of it.
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
